welcome to dearli, a product of shaman ventures, llc. by using our app or website, you agree to these terms of service ("terms"). if you do not agree, please do not use dearli.

1. about dearli

dearli is a social connection app that helps you stay in touch with the people you care about. our services include relationship tracking, social planning (sparks), crew management, and an AI-powered social agent.

2. eligibility

you must be at least 13 years old to use dearli. by creating an account, you represent that you meet this age requirement.

3. account registration

to use dearli, you must create an account using your phone number, apple sign-in, or email. you are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

4. SMS/text messaging terms

by providing your phone number and requesting a verification code, you consent to receive SMS text messages from dearli for the purpose of account verification and authentication.

• message types: one-time verification codes (OTP) for sign-in and account security.
• message frequency: you will receive 1 SMS per sign-in attempt. frequency varies based on your login activity. no marketing or promotional messages are sent via SMS.
• costs: message and data rates may apply. dearli does not charge for SMS, but your mobile carrier may apply standard messaging fees.
• opt-out: reply STOP to any SMS message to opt out. after opting out, you will no longer receive SMS verification codes from dearli. alternative sign-in methods (apple sign-in, email) remain available.
• help: reply HELP to any SMS message for assistance, or email hello@dearli.so.

your phone number will not be sold, rented, or shared with third parties for marketing purposes. SMS is delivered via twilio. see our privacy policy for details on how we handle your data.

5. acceptable use

you agree not to:

• use dearli for any unlawful purpose
• harass, abuse, or harm other users
• attempt to gain unauthorized access to other accounts or our systems
• use automated means to access the service without our permission
• interfere with or disrupt the service

6. user content

you retain ownership of content you create on dearli (profile information, crew posts, photos). by posting content, you grant dearli a non-exclusive, royalty-free license to use, display, and distribute that content within the service to provide functionality to you and other users.

7. AI agent

dearli includes an AI-powered agent that provides social suggestions, scheduling assistance, and relationship insights. the agent's suggestions are informational and do not constitute professional advice. you are responsible for any actions you take based on the agent's recommendations.

8. privacy

your use of dearli is also governed by our privacy policy, which describes how we collect, use, and protect your data.

9. termination

you may delete your account at any time. we may suspend or terminate your account if you violate these terms. upon termination, your right to use dearli ceases and we will delete your personal data in accordance with our privacy policy.

10. disclaimers

dearli is provided "as is" and "as available" without warranties of any kind, either express or implied. we do not guarantee that the service will be uninterrupted, error-free, or secure.

11. limitation of liability

to the maximum extent permitted by law, dearli shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

12. changes to these terms

we may update these terms from time to time. we will notify you of significant changes via the app or email. continued use of dearli after changes constitutes acceptance of the updated terms.
